Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SoxAI platform, APIs, website, and related services (collectively, the "Service") provided by SoxAI ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Overview

SoxAI is an AI API gateway and distribution platform that provides unified access to large language models and AI services from multiple third-party providers through an OpenAI-compatible API interface. We act as an intermediary between you and these providers. Models and providers may be added, modified, or removed at any time without prior notice.

2. Eligibility

  • You must be at least 13 years old to use the Service.
  • If you are under 18, you must have parental or guardian consent.
  • You must not have been previously suspended or removed from the Service.
  • You must comply with all applicable laws and regulations in your jurisdiction, including export control and sanctions laws.

3. Accounts

3.1 Registration

You are required to register for an account to access most features of the Service. You must provide accurate and complete information during registration and keep your account information up to date.

3.2 Security

You are responsible for maintaining the confidentiality of your account credentials and API keys. You agree to notify us immediately of any unauthorized use of your account. We are not liable for losses arising from unauthorized access to your account.

3.3 Organizational Accounts

If you create or manage an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. The organization is responsible for all activity conducted under its account, including by team members and API keys it provisions.

4. Payment & Credits

4.1 Pre-Paid Credits

The Service operates on a pre-paid credit model. You purchase credits which are consumed based on your API usage. Minimum purchase amount is $5 USD; maximum is $10,000 USD per transaction.

4.2 Credit Expiry

Purchased credits remain valid for 365 days from the date of purchase. Expired credits are non-refundable and cannot be reinstated. We will make reasonable efforts to notify you before credits expire.

4.3 Refunds

Refund requests may be submitted within 24 hours of purchase for unused credits. After 24 hours, unused credits are non-refundable. We reserve the right to deny refund requests in cases of suspected abuse. Promotional or bonus credits are non-refundable under any circumstances.

4.4 Pricing Changes

We may adjust pricing for models and services at any time. Material pricing changes will be communicated with at least 7 days advance notice via email or a notice on our website. Continued use after pricing changes constitutes acceptance.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe on intellectual property rights of others
  • Generate content that is illegal, harmful, or abusive
  • Generate, store, or distribute child sexual abuse material (CSAM)
  • Attempt to circumvent rate limits, quotas, or access controls
  • Reverse-engineer, scrape, or resell the Service without authorization
  • Introduce malware, viruses, or malicious code
  • Impersonate others or create fraudulent accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Share API keys or account access in violation of your plan terms
  • Engage in unauthorized security testing, penetration testing, or red-teaming against the Service
  • Create multiple accounts to exploit promotional credits, sign-up bonuses, or referral rewards

6. Promotional Credits & Anti-Abuse

6.1 Sign-Up Bonuses & Promotional Credits

We may offer promotional credits, sign-up bonuses, or referral rewards ("Promotional Credits") at our discretion. Promotional Credits are intended for genuine, individual use and are subject to the following rules:

  • Each individual is entitled to one account and one sign-up bonus only.
  • Creating multiple accounts (using different email addresses, aliases, devices, or other means) to obtain additional Promotional Credits is strictly prohibited.
  • Automated or bulk account registration to exploit Promotional Credits is prohibited.
  • Transferring, selling, or trading Promotional Credits between accounts is prohibited.
  • Using VPNs, proxies, or other tools to circumvent geographic or identity-based restrictions on Promotional Credits is prohibited.

6.2 Enforcement & Sole Discretion

We reserve the right, at our sole discretion, to determine whether any activity constitutes abuse of Promotional Credits. If we determine that abuse has occurred, we may take any or all of the following actions without prior notice:

  • Immediately suspend or permanently terminate the offending account(s)
  • Revoke all Promotional Credits and any remaining balance derived from them
  • Forfeit any pending referral rewards
  • Ban the user from creating new accounts
  • Pursue legal remedies for damages caused by the abuse

All determinations regarding promotional abuse are made at SoxAI's sole and absolute discretion. Such determinations are final and not subject to appeal. By using the Service, you acknowledge and accept this provision.

7. Red Teaming & Security Research

We support responsible security research. If you wish to conduct security testing or red-teaming activities against SoxAI or any model accessed through SoxAI, you must obtain prior written approval by contacting [email protected]. Unauthorized security testing will be treated as a violation of these Terms and may result in immediate account termination and legal action.

8. User Content

7.1 Ownership

You retain ownership of all content you submit through the Service ("Input"). Ownership of AI-generated output ("Output") is subject to the terms of the underlying AI model provider and applicable law.

7.2 No Training on Your Data

We do not use your Input or Output to train AI models. Request content is forwarded to upstream providers and is subject to their respective data usage policies. We do not control how upstream providers handle your data.

7.3 Logging

By default, we log request metadata (model, token counts, costs, timestamps) but not prompt or completion content. You may enable request logging for debugging purposes in your account settings. You acknowledge that upstream AI providers may have their own logging and data retention policies.

9. Third-Party Providers

The Service routes requests to third-party AI providers. Each provider has its own terms of service, acceptable use policies, and privacy policies. You are responsible for complying with the terms of any provider whose models you use through SoxAI. We are not responsible for the availability, accuracy, content, or conduct of third-party providers or the outputs their models generate.

10. Intellectual Property

All rights, title, and interest in the Service (including software, design, trademarks, and documentation) belong to SoxAI or our licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.

11. Confidentiality

Each party agrees to hold in confidence any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. This includes API keys, account credentials, pricing arrangements, and business plans.

12. Termination

  • You may terminate your account at any time. Outstanding fees remain due upon termination. Unused credits will not be refunded upon voluntary termination.
  • We may suspend or terminate your account at our discretion for violation of these Terms, with or without notice.
  • Upon termination, your right to use the Service ceases immediately. We may delete your account data after 30 days in accordance with our Privacy Policy.
  • Sections that by their nature should survive termination will survive, including payment obligations, indemnification, limitation of liability, and dispute resolution.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO WARRANTY REGARDING THE ACCURACY, QUALITY, OR RELIABILITY OF ANY OUTPUT GENERATED THROUGH THE SERVICE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOXAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

15. Indemnification

You agree to indemnify and hold harmless SoxAI, its affiliates, officers, directors, and employees from any claims, damages, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, your content or outputs, or your violation of any third-party rights.

16. Modifications

We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance. If you do not agree, you must stop using the Service and may request a pro-rated refund of unused credits.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

18. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation for a period of 30 days. If negotiation fails, disputes shall be resolved through binding arbitration administered by a recognized arbitration body, unless you opt out of arbitration within 30 days of accepting these Terms by emailing [email protected]. Either party may seek injunctive relief in court for intellectual property disputes.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and SoxAI regarding the Service and supersede all prior agreements.
